These Terms of Service govern your access to and use of the AdSoda campaign operations platform, including our website, APIs, and related services. By accessing or using AdSoda, you agree to be bound by these terms.
1. Acceptance of Terms
By creating an account, accessing, or using AdSoda, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you are using AdSoda on behalf of a company or organisation, you represent that you have the authority to bind that entity to these terms.
2. Service Description
AdSoda is a cloud-based campaign operations platform that provides digital asset management (DAM), media planning, ad trafficking, and campaign automation services. Our platform integrates with over 50 third-party advertising platforms and analytics services to help you manage your advertising operations from a single workspace. We offer two subscription tiers (Lite and Standard) with different levels of storage, user seats, and features as described on our pricing page.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating your account and keep it updated. You agree to notify us immediately of any unauthorised use of your account. AdSoda is not liable for any loss arising from unauthorised use of your account.
4. Acceptable Use
You agree to use AdSoda only for lawful purposes and in accordance with these terms. You shall not use our platform to upload or distribute content that is illegal, harmful, or infringes on intellectual property rights; attempt to gain unauthorised access to our systems; interfere with other users' use of the platform; reverse engineer or decompile any part of the service; or use the platform for any purpose that violates applicable advertising regulations or industry standards.
5. Intellectual Property
AdSoda and its original content, features, and functionality are owned by AdSoda, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain all rights to the creative assets, campaign data, and other content you upload to AdSoda. By uploading content, you grant us a limited licence to host, store, and process that content solely for the purpose of providing our services to you.
6. Payment Terms
Subscription fees are billed in advance on a monthly or annual basis as selected during sign-up. All fees are non-refundable except as required by law or as explicitly stated in these terms. Additional storage and processing beyond your plan allocation are billed at published usage rates. You are responsible for all taxes applicable to your subscription. We reserve the right to change our pricing with 30 days' prior written notice.
7. Limitation of Liability
To the maximum extent permitted by applicable law, AdSoda shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of our platform. Our total liability for any claims arising from these terms or your use of AdSoda shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
8. Termination
Either party may terminate this agreement at any time by providing 30 days' written notice. We may suspend or terminate your access immediately if you violate these terms or engage in conduct that we determine is harmful to other users or to AdSoda. Upon termination, your right to use the platform ceases immediately. We will retain your data for 90 days to allow for export, after which it will be deleted in accordance with our data retention policy.
9. Indemnification
You agree to indemnify, defend, and hold harmless AdSoda, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the platform, your violation of these terms, or your violation of any rights of a third party.
10. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the federal or state courts located in San Francisco County, California.
11. Changes to Terms
We reserve the right to modify these Terms of Service at any time. We will provide notice of material changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of AdSoda after changes are posted constitutes your acceptance of the modified terms.
